Welcome to ChatAd (the “Service”). The Service is operated by CPS Technology Services Ltd (“we”, “us”) for business customers (“merchants” or “you”). By using the Service you agree to these terms; if you do not agree, please do not use the Service.

1. Nature of the Service

ChatAd is a business-to-business (B2B) ad-creation service delivered to merchants entirely over WhatsApp (+852 5927 8033). By chatting with ChatAd, merchants receive ad images and copy generated in their own brand style, and can choose to have ChatAd publish them to the Facebook or Instagram account the merchant has connected.

2. Account connection

  • To use brand-style learning or publishing, a merchant must personally and explicitly connect a Facebook Page or Instagram professional account that the merchant manages, through the official Facebook / Instagram authorisation flow (OAuth).
  • Merchants must not, and must not attempt to, connect any account they do not manage or are not authorised to use. A merchant who connects an account that is not theirs or that they are not authorised to use bears all legal responsibility for doing so.
  • We do not use any form of web scraping to obtain Facebook or Instagram data. Brand-style data is obtained only through the official APIs of accounts the merchant connects, or from content the merchant uploads.

3. Ad generation and publishing

  • Generated ad images and copy are for reference only. Merchants are responsible for reviewing the content for accuracy, legality and suitability before using or publishing it.
  • The Service never publishes anything for a merchant automatically or on a schedule. Before each publish, the system sends the merchant an explicit confirmation message on WhatsApp (for example “Shall I post this for you?”). We carry out a single publish for that merchant only after the merchant explicitly confirms that specific image / order (for example by replying “1”).
  • Merchants may instead publish manually; the Service then only provides the finished images and copy for the merchant’s own use.

4. Merchant responsibilities

  • Merchants must ensure that the brand information, product information and material they provide do not infringe any third party’s rights (including intellectual property) and comply with applicable laws and regulations.
  • Merchants are solely responsible for all commercial, legal and compliance consequences of content published through the Service.
  • Merchants must not use the Service to publish content that is unlawful, fraudulent, infringing, or in breach of Meta platform policies.

5. Fees

Fees for the Service are explained clearly in the WhatsApp conversation before a merchant places an order. We may adjust our pricing as the Service changes; any adjustment does not affect orders already confirmed.

6. Disclaimer

The Service is provided on an “as is” and “as available” basis, without any express or implied warranty, including but not limited to the accuracy of generated content, merchantability or fitness for a particular purpose. We do not guarantee that the Service will be free from interruption, delay, or the effects of policy changes by third-party platforms (including but not limited to Meta and WhatsApp).

7. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special or consequential loss arising from the use of, or inability to use, the Service. Our total liability to a merchant will not exceed the total fees that merchant paid us for the Service in the twelve (12) months before the event giving rise to the claim.

8. Suspension or termination

If a merchant breaches these terms, or connects an account without authorisation, we may suspend or terminate the Service for that merchant. A merchant may also stop using the Service at any time by removing the Facebook / Instagram connection authorisation or by contacting us directly.

9. Privacy

For how we collect, use and protect your data, please see our Privacy Policy.

10. Changes to these terms

We may update these terms from time to time. For any material change we will update the “Last updated” date on this page and, where reasonable, notify existing merchants on WhatsApp. Continuing to use the Service after a change means you accept the updated terms.

11. Governing law

These terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, and both parties submit to the non-exclusive jurisdiction of the Hong Kong courts.

12. Contact

If you have any questions about these terms, email tomslchui@cpstech-hk.com or contact CPS Technology Services Ltd on WhatsApp at +852 5927 8033.
